Purpose
This Association has been established according to law
We are a non-profit social group
Our objective is to improve commercial and cultural collaboration and exchange between our country (Taiwan) and Myanmar
And promote a harmonious relationship and development between the two countries

Mission
一、Promote commercial and cultural exchange between our country (Taiwan), Myanmar, as well as other countries and regions.
二、Assist government and civil groups in strengthening commercial and cultural exchange with Myanmar and to promote collaborative relationships between two sides.
三、Periodically host academic conferences, dialogs, seminars, and other events.
四、Organize industrial and commercial field trips and expositions in Myanmar, Taiwan, and other regions in order to facilitate bilateral commercial and cultural understanding.
五、Survey, collect, analyze, and distribute local and global commercial and cultural information.
六、Establish scholarships and grants or organize specialized courses to train Taiwanese professionals in commercial and cultural exchange.

七、 Organize or subsidize events that help expand international commercial and cultural exchange.
八、Accept assignments from local or foreign corporations or government agencies to provide commercial and cultural studies and services.
九、Collect relevant international commercial information and to advise the government on commercial and cultural affairs.
十、Assist Taiwanese or Burmese business and government representatives and arrange mutual visits, and to help provide solutions for local and foreign business disputes.
十一、Sign commercial and cultural cooperation agreements with relevant foreign agencies.
十二、Engage in other means of promoting international business and cultural collaboration.

Inaugural Meeting
This Association was established in July 8th, 2014. At its founding, this Association included 9 directors and 3 supervisors led by general director Yang Qi the as well as 26 individual and 8 group members.

Article 6

The name of this Association shall be the ROC Taiwan- Myanmar Commercial and Cultural Exchange Association (this Association).
This Association has been legally established as a non-profit social organization with the purpose of strengthening commercial and cultural collaboration and exchange between Taiwan and Myanmar; our vision shall be to promote harmonious development and relations of both countries.
The organizational area of this Association shall cover all administrative districts in this country (Taiwan).
The address of this Association shall be established at the region of the agency-in-charge; this Association shall only establish branch organizations with the approval of the agency-in-charge. The general rules of the said branch organizations shall be stipulated by the Board of Directors and submitted to the agency-in-charge for approval before release and implementation. The established addresses of this Association and the branch organizations, as well as changes to these addresses, shall be submitted by writ to the agency-in-charge for archiving.
The mission of this Association is described in the following:
1. Promote commercial and cultural exchange between our country (Taiwan), Myanmar, and other countries and regions.
2. Assist government and civil groups in strengthening commercial and cultural exchange with Myanmar and to promote collaborative relationships between two sides.
3. Periodically host academic conferences, dialogs, seminars, and other events.
4. Organize industrial and commercial field trips and expositions for Myanmar and Taiwan in order to facilitate business and cultural understanding between the two countries.
5. Survey, collect, analyze, and distribute local and global commercial and cultural information.
6. Establish scholarships and grants or organize specialized courses to train Taiwanese professionals in commercial and cultural exchange.
7. Organize or subsidize events that help expand international commercial and cultural exchange.
8. Accept assignments from local or foreign corporations or government agencies to provide commercial and cultural studies and services.
9. Collect relevant international commercial information and to provide the government with recommendations on commercial and cultural affairs.
10. Assist Taiwanese or Burmese business and government representatives and arrange mutual visits, and to help provide solutions for local and foreign business disputes.
11. Sign commercial and cultural cooperation agreements with relevant foreign agencies.
12. Engage in other means of promoting international business and cultural collaboration.
The agency-in-charge of this Association shall be the Ministry of the Interior (MOI); the Ministry of Economic Affairs (MOEA) shall stipulate the purpose and mission of the target operations and functions. Target operations and functions shall also be subject to the guidance and supervision of the relevant authority.

Association members shall be divided into the three categories described below:

any public or private agencies or groups that agree with the purpose of this Association may be introduced by current group members to become a group member by completing and submitting a registration application form for approval by the Board of Directors and paying a membership fee. Group members shall delegate 1 to 2 individuals as their representative for participating in various Association events and exercising membership rights and privileges.
The Board of Directors of this Association may review or provide an invitation for Honorary membership to any public or private agency, group, or individual who agrees with the purpose of this Association or participates in this Association's activities.
Any Taiwanese or foreign adult over 20 (twenty) years of age may be nominated by a current member to complete and submit an application; when the application has been approved by the Board of Directors and membership fees paid, the applicant shall become an individual member. Foreigners (not including citizens of Mainland China) must hold an effective Resident Certificate of Taiwan. Membership fees and annual fees shall be stipulated by the Board of Directors.
Members (or their representatives) shall have decision, voting, and recall rights as well as the right to be elected. Every member (or representative) is entitled to 1 (one) vote. Honorary members are not entitled to the rights described in this article.
Members are obliged to comply with the rules and regulations of this Association, to partake in decisions, and to pay membership fees. Members shall be allowed to join any staff committees.
In the event that members (or their representatives) violate the law, rules or regulations, or refuse to comply with the decision of the Member Assembly, the Board of Directors may decide to either give a warning or suspend the membership of the said member; the Member Assembly may decide to terminate the membership of those members whose violations severely impact this Association. Members who fail to pay the membership fees may not be entitled to member privileges and rights. Those who fail to pay membership fees for two consecutive years shall be automatically regarded as having left the Association. Members who had withdrew, resigned, or had their membership privileges suspended by this Association but intends to reactivate their membership or member privileges must provide an acceptable reason and pay all membership fees due.
Members shall be regarded as having withdrawn their membership for any one of the following:
(1). Losing membership qualifications
(2). Membership being terminated following the Member Assembly's decision.
Members may submit, by writ, reasons for leaving this Association to announce the withdrawal of their membership.

The Member Assembly shall be the highest level of authority in this Association. When the number of members (or their representatives) exceed 300 individuals, one or more Assembly Representatives shall be elected according to the membership size. The Assembly Representatives shall host Assembly Meetings and exercise the right and responsibility of the Member Assembly. Assembly Representatives serve for a term of 3 (three) years. The number of openings and election methods shall be stipulated by the Board of Directors and submitted to the agency-in-charge for archiving before implementation.
The following lists the rights and responsibilities of the Member (or representative) Assembly:
1. Stipulate and change rules and regulations of this Association.
2. Elect and dismiss the Directors and Supervisors.
3. Pass resolutions on the amount and collection method of membership fees, annual fees, operation expenses, and member donations.
4. Pass resolutions on the annual operation plans and reports as well as annual budget and accounting.
5. Pass resolutions on membership (or representative) termination.
6. Pass resolutions on the disposition of Association assets.
7. Pass resolutions on the dissolution of this Association.
8. Pass resolutions on other important issues on membership rights and responsibilities. The scope and contents of the eighth item on this list shall be stipulated by the Board of Directors.
This Association shall have 9 (nine) directors and 3 (three) supervisors, who shall be voted for by Association members (or their representatives), to form the Board of Directors and the Board of Supervisors. Before voting for the directors and supervisors, 2 (two) reserve directors and 1 (one) reserve supervisor shall also be selected by count of votes, and these reserve personnel shall perform the formal functions of the director or supervisor in case they are absent.
The Board of Directors may provide a reference name list of director and supervisor candidates for election.
Voting for directors and supervisors may be done remotely by communication, but may not be performed consecutively. Regulations for voting by communication shall be first approved by the Board of Directors and submitted to the agency-in-charge for archiving before being implemented.
The roles and responsibilities of the Board of Directors are described in the following:
1. Review the qualification of membership applicants (or their representatives).
2. Elect or dismiss the management director, deputy general director, and general director.
3. Pass resolutions on the resignation of directors, management directors, deputy general director and general director.
4. Hire and dismiss the staff.。
5 Stipulate and propose annual operation plans and reports as well as the budget and accounting.
6. Other issues as required.
The Board of Directors shall have 3 (three) management directors who shall be voted for by the directors. Among the three management directors, one shall be elected as the general director and one shall be elected as the deputy general director.
The general director shall manage and supervise Association affairs and acts as the Association's representative externally; the general director shall also act as the chairperson of the Member Assembly and Board of Directors. In the event that the general director cannot perform his or her duties, the deputy general director shall act on his or her behalf. In the event that the deputy general director also cannot perform the said duties, the other management director shall act on his or her behalf. In the event that the management director still cannot perform the said duties, the directors shall elect a fellow director to act as the deputy. In the event that there is an opening for the general director or directors, voting shall be carried out to fill the gap within 1 (one) month.
The roles and responsibilities of the Board of Supervisors are described in the following:
1. Supervise the work performed by the Board of Directors.
2. Review and approve annual budgets.
3. Elect and dismiss the supervisors.
4. Vote and decide upon the resignation of directors and supervisors.
5. Other work that involves supervision.
The Board of Supervisors shall include 1 (one) management supervisor who shall be elected by the supervisors themselves; the management supervisor shall supervise daily affairs and act as the chair of the Board of Supervisors.
The management supervisor shall designate another supervisor to act in his or her stead when the management supervisor is unable to perform his or her duties. In the event that this supervisor was not designated, the supervisors shall elect a fellow supervisor to perform the role of the management supervisor.
In the event that the position for the chair of the Board of Supervisors (the management supervisor) is open, voting shall be carried out to fill the gap within 1 (one) month.
Article 20 Directors and supervisors are unpaid positions and serve for a term of 3 (three) years, and may be re-elected consecutively. The term of the general director may only be extended once. The terms of the directors or supervisors shall be calculated from the date of the first Board of Directors meeting in that year.
A director or supervisor shall be suspended of his or her duties for any one of the following:
1. Losing membership (member representative) qualifications
2. Resignation, which has been reviewed and approved by the Board of Directors and Supervisors.
3. Dismissal or termination of duties.
4. Those whose membership suspension exceeds more than half of the service term.
This Association shall have 1 (one) secretary general and a number of deputy secretaries to process Association affairs under the direction of the general director, as well as a number of staff nominated by the general director and then reviewed and approved by the Board of Directors for employment or dismissal; the identity of the personnel shall be reported to the agency-in-charge for archiving. The staff described in this article may not be any of the directors or supervisors of this Association.
Staff responsibilities and job details shall be separately stipulated by the Board of Directors.
This Association may establish various committees, teams, or other internal operation organizations which shall be reviewed and approved by the Board of Directors prior to establishment; changes to these organizations shall undergo similar procedures.
This Association may delegate the Board of Directors to employ an honorary general director and a number of local or foreign honorary directors serving a term similar in length with that of the directors and supervisors.
This Association may review actual needs and have the Board of Directors stipulate various regulations, establish affiliated organizations and various work committees.
This Association may review business requirements and have the secretary general nominate a list of consultants for review and employment by the Board of Directors. Chapter 4 Meetings

The Member (representative) Assembly shall hold two types of meetings, namely periodic meetings and temporary meetings. Meetings shall be convened by the general director, and members shall be notified by writ 15 days before the meeting, with the exception of temporary meetings that are convened for emergency purposes.
Periodic meetings shall be held once every year. Temporary meetings shall be held when regarded as necessary by the Board of Directors or when requested by over one-fifth of the Member (representatives) Assembly, or when convened by the Board of Supervisors after informing the members by writ.
After this Association has been registered as a juristic person, the temporary meetings may be convened when requested by over one-tenth of the Member (representatives) Assembly.
In the event that a member (representative) is unable to attend Member Assembly meetings personally, he or she may delegate another member (representative) by proxy to attend on his or her behalf. A member (representative) may represent only one absent member.
Motions proposed during the Member (representative) Assembly shall be implemented if the Assembly is attended by over half of the members (representatives) and that a majority of the attendants have agreed to pass the said motion. The following motions, however, may only be passed and implemented in meetings that are attended by over two-thirds of the members.
1. Stipulation and changes to Association rules and regulations.
2. Termination of membership (or representative).
3. Dismissal of directors or supervisors.
4. Disposition of Association assets and property.
5. Dissolution of this Association.
6. Other important issues on membership rights and responsibilities.
After this Association has been registered as a juristic person, changes to the rules and regulations shall be approved and implemented when over three-fourths of the Assembly attendants agree with the motion or when over two-thirds of the members submits their agreement to the motion by writ.
The dissolution of this Association may be enacted at any given time when agreed upon by over two-thirds of the total members.
The Board of Directors shall hold a meeting every 6 (six) months, the Board of Supervisors shall hold a meeting every 6 (six) months, and the management director committee shall hold a meeting every 2 (two) months. Where necessary, joint meetings or temporary meetings may be convened.
With the exception of temporary meetings, meeting attendants shall be notified by writ 7 (seven) days prior to the meeting; meeting decisions may only be approved when the meeting is attended by over half of the directors and supervisors and the decision is agreed upon by over half of the attendants.
Directors shall attend the director meetings while supervisors shall attend the supervisor meetings. Neither directors nor supervisors may delegate a representative to attend in their stead; directors and supervisors who fail to attend the director or supervisor meetings for two consecutive times shall be regarded as having resigned their duties.

This Association's funding is derived from the following:
一、Membership fee::NTD 50,000 for group members, paid upon entry to this Association.
              NTD 10,000 for individual members, paid upon entry to this Association.
二、Annual fees: NTD 10,000 for group members; NTD 5,000 for individual members.
三、Operation expenses.
四、Membership donations.
五、Commission income.
六、Funds and interests.
七、Other forms of income.
This Association calculates the fiscal year by the Western calendar, with January 1st as the first day and December 31st as the last day.
The Board of Directors shall generate an annual work plan, income and spending forecasts, and staff payment reports 2 (two) months prior to the beginning of the fiscal year; these shall be submitted to the Director and Supervisor Joint Meeting for approval, and then submitted to the agency-in-charge for archiving before the fiscal year begins. Two months after the fiscal year ends, the Board of Directors shall generate an annual work report, income and expense decision report, cash billing report, assets and loans report, assets list, and fund incomes; these shall be submitted to the Board of Supervisors for approval and to generate a review report submitted to the Member Assembly for approval. The approved review report shall be submitted to the agency-in-charge for archiving before the end of March.
Upon dissolution of this Association, the remaining assets shall be returned to the local autonomous agency or any agency or group designated by the agency-in-charge.

Any matters not covered by this Rules and Regulations shall refer to the relevant laws.
This Rules and Regulations have been approved by the Member (representatives) Assembly and shall be implemented after submitting it to the agency-in-charge for archiving. The same shall apply to any changes as well.
